Art. 1 - Establishment, Name, Duration, and Registered Office

The Association Centro per la Cooperazione e sviluppo tra l'Italia e l'Armenia is established. It will take the name CAMERA di COMMERCIO ITALO-ARMENA (C.C.I.A.M.) upon Albo registration per D.M. 96/2000. Registered office: Milan, Corso Sempione 32/B. Duration: until December 31, 2100. Official language: Italian and/or Armenian. The official version of this statute is in Italian.

Art. 2 - Purposes

The Association is non-profit. It promotes economic-commercial relations between Italy and Armenia. Activities: trade development, financial and cultural relations, economic data collection, regulatory information, member promotion and assistance, services, collaboration with Armenian Chambers, training, twinning, international cooperation.

Art. 3 - Members and Participants

Honorary, founding and ordinary Members. Supporters participate but are not Members.

Art. 4 - Rights of the Member

Assistance and support in all statutory matters. Right to vote in the Assembly.

Art. 5 - Requirements and Admission

Natural/legal persons without nationality distinction. Board decides within 30 days. Members = up to date with annual fee.

Art. 6 - Membership Fees

Annual fees set by the Board. Payment by March 30.

Art. 7 - Withdrawal

Written notice via registered mail to the President, 3 months before year-end.

Art. 8 - Exclusion

Grounds: non-participation, arrears over 6 months, duty breach, criminal convictions.

Art. 9 - Honorary Members

Conferred by Assembly to distinguished persons. By right: Italian/Armenian Ambassadors, Commercial Counselors.

Art. 10 - Founding Members

Italy: Italian-Russian Chamber of Commerce, Ferdinando Pelazzo, Stefano Maggi. Armenia: Narek Karapetyan.

Art. 11 - Social Bodies

Assembly, President, Vice Presidents, Honorary President, Board of Directors, Secretary, Treasurer, Board of Auditors.

Art. 12 - Assets and Financial Resources

Membership fees, public/private contributions, service fees. No profit distribution allowed.

Art. 13 - Assembly of Members

Composed of all Members. Max 3 proxies per Member. One vote per Member.

Art. 14 - Convocation

Notice 8 days before. 1st call: 50%+1. 2nd call: 25%. Statute changes: 2/3. Dissolution: 3/4.

Art. 15 - Board of Directors

2-19 members from Members, 3 terms. Extensive ordinary and extraordinary administration powers.

Art. 16 - President

Elected by Assembly, 3 terms, max 2 consecutive. 4+ Vice Presidents. Legal representation.

Art. 16bis - Honorary President

Elected upon Board proposal. Lifelong. Ex officio Board member.

Art. 17 - The Treasurer

Appointed by the Board for economic and financial management.

Art. 18 - The Secretary

Appointed among Members for minutes and executive secretariat.

Art. 19 - Board of Auditors

3 actual members. Mandatory if registered in the Albo. 3 terms.

Art. 20 - Financial Year

Closes December 31. Balance assembly within 6 months. No profit distribution.

Art. 21 - Delegations and Offices

The Board may establish delegations and offices in Italy and abroad.

Art. 22 - Technical Scientific Committee

Committees with experts for research and promotion.

Art. 23 - Publicity

Records viewable at headquarters by appointment.

Art. 24 - Dissolution

Insufficient assets, no members, purpose achieved/impossible, or Assembly resolution. Devolution with 3/4 majority.
